Foreign Corporation Registration
If your corporation was formed outside New York, you may need authority to do business here.
Foreign qualification is often required when you establish an ongoing presence -- like an office, employees, or repeat transactions in the state.
The New York filing for foreign corporations
A foreign business corporation may apply for authority by filing an Application for Authority with the Department of State.
Filing fee
The filing fee for the Application for Authority is $225. If the corporation has already been conducting business in New York prior to filing, additional steps may apply.
Certificate of existence / good standing
Foreign authority filings commonly require evidence that your corporation exists and is in good standing where it was formed (usually a certificate issued by your home state).
Name conflicts and assumed names
If your legal name isn't available in New York, you may need to adopt a fictitious name for use in the state.
Registered agent considerations
Many foreign corporations use a professional agent so service-of-process handling stays reliable even when leadership is out of state.
