Foreign LLC Registration

If your LLC was created outside New York but will conduct activities in the state, you may need to file an Application for Authority (often called 'foreign qualification').

What "foreign LLC registration" means

A "foreign" LLC is simply an LLC formed in another state. To operate in New York, the LLC may apply for authority by filing an Application for Authority under NY law.

Filing fee and required attachment

New York requires the completed Application for Authority plus a Certificate of Existence (Good Standing) from your home jurisdiction dated within one year. The filing fee is $250.

Publication requirement

Within 120 days after filing, a foreign LLC must publish notice once a week for six successive weeks in two newspapers in the county where the office is located (one daily, one weekly, designated by the county clerk).

Name issues: assumed names

If your exact legal name isn't available in New York, you may need to use an assumed/fictitious name for New York operations. This is common when your name conflicts with an existing entity.
